These Terms of Use ("Terms") govern your use of the Upkee iOS application and related services operated by Pixster Studio (collectively, the "App"). By downloading, accessing, or using the App, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the App.
We may update these Terms from time to time. If we make material changes, we may provide notice through the App or by other reasonable means. Your continued use of the App after updated Terms become effective means you accept the revised Terms.
You must be at least 13 years old, or the minimum age required in your jurisdiction, to use the App. If you are under the age of majority where you live, you may use the App only with the involvement of a parent or legal guardian.
Subject to your compliance with these Terms, Pixster Studio grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use the App on Apple-branded devices you own or control, solely for your personal, non-commercial use and in accordance with the Apple Media Services Terms and Conditions and applicable usage rules.
Upkee is a task management application that allows you to create, organize, and track tasks. The App includes features such as task creation with media attachments, voice-based task search using speech recognition, notification-based task reminders, and the ability to capture or upload images and videos in connection with your tasks, and the ability to create shared spaces in which multiple users can collaborate on tasks. The App may also use a third-party AI service to generate suggested task details, such as a title, description, or checklist items, based on an image or video you choose to attach to a task.
Certain features of the App require access to device permissions or platform capabilities. By using those features, you consent to the App requesting the relevant permission from your device. The permissions the App may request, and their purposes, are as follows:
Notifications: Used to deliver task reminders and due date alerts based on your task settings. You can manage notification preferences through your device settings at any time.
Camera: Used to allow you to capture photos or record videos to attach to tasks. Camera access is only active when you initiate a capture action.
Microphone: Used to record audio as part of videos you choose to attach to tasks. Microphone access is not used in the background or for any purpose other than video recording you initiate.
Speech Recognition: Used to convert spoken input into text for searching tasks using your voice. Speech input is processed only when you activate the voice search feature.
Photo Library: Used to allow you to select and upload existing images from your device library to attach to tasks. Access is limited to images you actively select.
If you decline a permission, the feature that depends on it may not function properly, but other features of the App that do not require that permission will remain available.
The App allows users to create shared spaces in which multiple users can collaborate on tasks. Within a shared space, each member is assigned one of the following access levels:
Full Access: A Full Access member can create spaces, create and edit tasks, assign tasks to other members of the space, remove tasks, and manage the membership and access levels of other members within that space.
Half Access: A Half Access member can view tasks assigned to them within a space and update the status of those tasks (for example, marking a task as in progress or complete). A Half Access member cannot create tasks, create spaces, assign tasks to other members, or change another member's access level.
Access levels are assigned and may be changed by a Full Access member of the relevant space. You are responsible for the access level you grant to other members and for the content and tasks shared within a space you create or administer. We are not responsible for how members of a shared space use, edit, or act upon tasks or content within that space.
When you attach an image or video to a task, you may choose to use a feature that sends that image or video to a third-party AI service provider to generate suggested task details, such as a title, description, or checklist items. Any AI-generated suggestions are presented to you for review, and you may edit, accept, or discard them before the task is saved. This feature is used only when you actively initiate it and is not used to automatically create or modify tasks without your input. The third-party AI service provider processes the image or video solely to generate the requested suggestion and is subject to its own terms and privacy practices, which we encourage you to review.
Where the App engages in tracking as defined by Apple, we will request your permission through Apple's App Tracking Transparency (ATT) framework before any tracking occurs. If you do not allow tracking, your data will not be used for cross-app or third-party advertising purposes. You can update your tracking preference at any time in your device settings under Privacy & Security > Tracking.
The App may allow you to create tasks and attach content, including text, images, and videos ("User Content"). By submitting User Content, you represent and warrant that:
You own or have the right to submit and use the User Content;
The User Content does not infringe the intellectual property, privacy, or other rights of any third party;
The User Content is not unlawful, misleading, defamatory, abusive, or otherwise objectionable.
Your User Content is stored for the purpose of providing the App's features to you. You retain ownership of User Content you create. We do not use your task content, images, or recordings for advertising or for purposes unrelated to operating the App. If you use the AI-generated task suggestion feature described below, the image or video you submit for that purpose will be shared with our third-party AI service provider solely to generate the suggestion. If you add a task, image, or video to a shared space, that content will be visible to other members of that space in accordance with their assigned access level.
We may, but are not required to, review or remove User Content at our discretion where it violates these Terms or applicable law.
You agree not to:
Use the App for any unlawful, fraudulent, or unauthorized purpose;
Interfere with or disrupt the App, servers, networks, or related infrastructure;
Attempt to gain unauthorized access to the App or related systems;
Copy, scrape, decompile, reverse engineer, modify, distribute, or create derivative works from the App except where applicable law prohibits such restrictions;
Submit false, misleading, infringing, or harmful content in connection with any App feature;
Use the App in a way that infringes the rights of any third party, including content owners or other users.
We may add, remove, suspend, or modify features, content, or App functionality at any time. We do not guarantee that any specific feature, integration, or capability will always remain available. The App may be unavailable from time to time due to maintenance, updates, or factors beyond our control.
If the App offers paid features, subscriptions, or in-app purchases, those purchases are processed by Apple using your App Store account, subject to Apple's applicable terms, billing practices, and refund rules. Subscription terms presented in the App or on the purchase screen will apply in addition to these Terms.
The App, including its software, design, layout, branding, text, graphics, and other materials provided by Pixster Studio, is owned by Pixster Studio or its licensors and is protected by applicable intellectual property laws. These Terms do not transfer any ownership rights to you except for the limited license expressly granted above.
Your use of the App is also governed by our Privacy Policy, which describes how we collect, use, and share information, including how we handle data collected through device permissions such as camera, microphone, speech recognition, photo library, and notifications.
The App may rely on or integrate with third-party services and frameworks, including Apple's speech recognition framework, a third-party AI service used to generate suggested task details from images and videos you choose to submit, and analytics providers. Such third-party services are subject to their own terms and privacy practices. We are not responsible for the availability, accuracy, or practices of third-party services used in connection with the App.
We may suspend or terminate your access to the App if you violate these Terms, if we are required to do so by law, or if continued access could create risk or harm to us, other users, or third parties. You may stop using the App at any time by uninstalling it from your device.
To the fullest extent permitted by applicable law, the App and all features and services made available through it are provided on an "as is" and "as available" basis. Pixster Studio disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and availability.
Without limiting the above, we do not warrant that notifications will be delivered on time, that speech recognition will be accurate in all conditions, that camera or media features will be available on all devices, that AI-generated task suggestions will be accurate, complete, or suitable for your purposes, or that the App will be uninterrupted, error-free, or completely secure. You are responsible for reviewing any AI-generated suggestion before relying on it.
To the fullest extent permitted by applicable law, Pixster Studio and its affiliates, licensors, service providers, and partners will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of data, tasks, content, profits, revenues, goodwill, or business opportunities arising out of or related to your use of, or inability to use, the App. Where liability cannot be excluded, our liability will be limited to the maximum extent permitted by law.
You agree to defend, indemnify, and hold harmless Pixster Studio, its affiliates, and their respective officers, directors, employees, and agents from and against claims, liabilities, damages, losses, and expenses arising out of or related to your use of the App, your User Content, or your violation of these Terms or applicable law.
These Terms are between you and Pixster Studio only, not with Apple. Apple is not responsible for the App or its content. To the extent required by applicable law, Apple has no obligation to furnish maintenance or support services for the App.
In the event of any failure of the App to conform to an applicable warranty, you may notify Apple, and Apple may refund the purchase price, if any, paid for the App. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation with respect to the App.
Apple is not responsible for addressing any claims by you or any third party relating to the App, including product liability claims, claims that the App fails to conform to legal or regulatory requirements, and claims arising under consumer protection, privacy, or similar laws.
Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance of these Terms, Apple will have the right to enforce these Terms against you as a third-party beneficiary.
If you are a California resident, you may have rights to request access to, correction of, or deletion of personal information, subject to applicable exceptions. To exercise your rights, contact us at feedback@pixsterstudio.com.
If you are located in the European Economic Area, United Kingdom, or similar jurisdictions, you may have rights including access, correction, deletion, restriction, objection, withdrawal of consent, and data portability, subject to applicable law. To the extent permitted by applicable law, these Terms and any dispute arising out of or relating to them or the App will be governed by the laws applicable to Pixster Studio's principal place of business, without regard to conflict of law principles, except where mandatory consumer protection laws require otherwise.
If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of that provision.
